Terms of Service — Zarenova

1. Agreement

Welcome to Zarenova, operated by Course Creatives LLC (“Company,” “we,” “us”). These Terms of Service (“Terms”) govern your access to and use of our website, macOS application, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility & Accounts

You must be at least 13 years old to use the Services. When you create an account, you must provide accurate information and keep it up to date. You are responsible for all activity under your account and for safeguarding your credentials. Notify us immediately at support@zarenova.ai if you suspect unauthorized use.

3. License & Access

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes, subject to these Terms.

You may not: (a) copy, modify, or create derivative works of the Services; (b) reverse engineer or attempt to extract source code; (c) rent, lease, sell, sublicense, or transfer rights to the Services; or (d) circumvent any technical protections.

4. Your Content & AI Features

Your call transcripts, recordings, and other materials you submit (“User Content”) remain yours. You grant us a non-exclusive license to host, process, and analyze your User Content solely to provide the Services.

To deliver AI coaching features, we send your transcripts to third-party AI providers (including OpenAI) under contract. AI-generated coaching suggestions are for informational purposes only. You are responsible for verifying AI outputs before acting on them.

You represent that you have all rights necessary to submit your User Content and that doing so does not violate any law or third-party rights.

5. Recording Consent

You are solely responsible for complying with all applicable laws regarding the recording or monitoring of conversations. Many jurisdictions require the consent of all parties before recording a call. It is your obligation to obtain any required consents before using Zarenova on a call. We are not liable for your failure to do so.

6. Acceptable Use

You agree not to use the Services to:

Violate any law or the rights of others
Record calls without legally required consent
Upload or transmit harmful, infringing, or fraudulent content
Attempt to access non-public areas or disrupt the Service
Bypass any security or usage restrictions
Resell or redistribute access to the Services

We may suspend or terminate accounts that violate these rules.

7. Subscriptions & Billing

Certain features require a paid subscription billed monthly through Stripe. Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months. Refund requests for other reasons may be submitted to support@zarenova.ai within 7 days of purchase and will be reviewed on a case-by-case basis.

We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

8. Intellectual Property

The Services, including software, design, and brand elements, are owned by Course Creatives LLC or its licensors. Except for the license in Section 3, no rights are granted to you. If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or compensation.

9. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share your information.

10. Data Retention

We retain your data for as long as your account is active and for legitimate business and legal purposes thereafter. Deleted content may persist in backups for a limited period. To request full deletion of your account and data, email support@zarenova.ai.

11. Disclaimers

THE SERVICES AND ALL CONTENT (INCLUDING AI OUTPUTS) ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED. AI COACHING SUGGESTIONS ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT GUARANTEE SALES RESULTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS OR DATA; AND (B) OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (i) AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR (ii) $100.

13. Indemnification

You will indemnify and hold harmless Course Creatives LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of (a) your User Content; (b) your use of the Services; or (c) your violation of these Terms or applicable law.

14. Dispute Resolution

At either party's election, any dispute arising out of or related to these Terms will be resolved by binding arbitration under AAA rules. You and we each waive the right to a jury trial or to participate in a class action. You may opt out of arbitration within 30 days of account creation by emailing support@zarenova.ai with your name and account email.

15. Governing Law

These Terms are governed by the laws of the United States and the State of Florida, without regard to conflict of law principles. The exclusive venue for any dispute not subject to arbitration will be the courts located in Florida.

16. Suspension & Termination

We may suspend or terminate your access at any time if we believe you have violated these Terms. You may stop using the Services and cancel your subscription at any time. Sections 4, 8–15 survive termination.

17. Changes to These Terms

We may update these Terms. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

18. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Services. If any provision is unenforceable, the remainder stays in effect. You may not assign these Terms without our consent. Failure to enforce any provision is not a waiver.
